Oded,
I tried to install yum 2.3.3 on fedora core 3 (similiar to rhel4) and I got that same result as you.
It turns out the package "python-celementtree" (you can get this from dag) needs to be installed for everything to work properly.
There must be a missing dependency from one of the RPMs somewhere.
Once I installed that package yum 2.3.3 worked.

rhel4 is mostly like fc3. You'd be best off getting those dependencies
from the Fedora Extras 3 and Fedora Core 3 repositories.
The most important bits is to make sure the python path to the packages
you've installed is /usr/lib/python2.3 not /usr/lib/python2.4
